ICANN obligations on Registered Name Holders

Com Laude is obliged under the terms of its Registrar Accreditation Agreement (“RAA”) with ICANN to obtain your agreement to certain provisions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these provisions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a gTLD domain name and “Registrar” means Com Laude)

1. The Registered Name Holder shall provide to Registrar accurate and reliable contact details and promptly correct and update them during the term of the Registered Name registration, including: the full name, postal address, e-mail address, voice telephone number, and fax number if available of the Registered Name Holder; name of authorized person for contact purposes in the case of an Registered Name Holder that is an organization, association, or corporation; the names of the primary nameserver and secondary nameserver(s) for the Registered Name; the name, postal address, e-mail address, voice telephone number, and (where available) fax number of the technical contact for the Registered Name; and the name, postal address, e-mail address, voice telephone number, and (where available) fax number of the administrative contact for the Registered Name.

2. A Registered Name Holder’s wilful provision of inaccurate or unreliable information, its wilful failure promptly to update information provided to Registrar, or its failure to respond for over fifteen calendar days to inquiries by Registrar concerning the accuracy of contact details associated with the Registered Name Holder’s registration shall constitute a material breach of the Registered Name Holder – Registrar contract and be a basis for cancellation of the Registered Name registration.

3. Any Registered Name Holder that intends to license use of a domain name to a third party is nonetheless the Registered Name Holder of record and is responsible for providing its own full contact information and for providing and updating accurate technical and administrative contact information adequate to facilitate timely resolution of any problems that arise in connection with the Registered Name. A Registered Name Holder licensing use of a Registered Name according to this provision shall accept liability for harm caused by wrongful use of the Registered Name, unless it promptly discloses the identity of the licensee to a party providing the Registered Name Holder reasonable evidence of actionable harm.

4.1 The Registrar collects personal data from the Registered Name Holder in order to complete registration formalities at each registry.

4.2 The data will be made available to the Registry, and will be visible on the whois database operated by the Registrar.

4.3 All data listed at point 1 above is obligatory, with the exception of the fax number.

4.4 The Registered Name Holder can check the personal data held by the Registrar either by accessing their DNS-Dashboard account, by checking their whois record, or by email request which will be responded to within one working day. If the data requires correction, the Registered Name Holder can either make the required changes themselves via their DNS-Dashboard account or by email request to the Registrar which will be responded to within one working day.

5. The Registered Name Holder shall consent to the data processing referred to in point 4 above.

6. If the Registered Name Holder gives the personal data of any third party to the Registrar, the Registered Name Holder will inform the third party of point 4 above and will obtain the third party’s consent to such use of the personal data.

7. Registrar will not process the Personal Data collected from the Registered Name Holder in a way incompatible with the purposes and other limitations about which it has provided notice to the Registered Name Holder in accordance with point 4 above.

8. Registrar will take reasonable precautions to protect Personal Data from loss, misuse, unauthorized access or disclosure, alteration, or destruction.

9. The Registered Name Holder represents that, to the best of the Registered Name Holder’s knowledge and belief, neither the registration of the Registered Name nor the manner in which it is directly or indirectly used infringes the legal rights of any third party.

10. For the adjudication of disputes concerning or arising from use of the Registered Name, the Registered Name Holder shall submit, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts (1) of the Registered Name Holder’s domicile and (2) where Registrar is located.

11. The Registered Name Holder shall agree that its registration of the Registered Name shall be subject to suspension, cancellation, or transfer pursuant to any ICANN adopted specification or policy, or pursuant to any registrar or registry procedure not inconsistent with an ICANN adopted specification or policy, (1) to correct mistakes by Registrar or the Registry Operator in registering the name or (2) for the resolution of disputes concerning the Registered Name.

12. The Registered Name Holder shall indemnify and hold harmless the Registry Operator and its directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees and expenses) arising out of or related to the Registered Name Holder’s domain name registration.

ICANN obligations on Third-Party Resellers of Registrar Services

Com Laude is obliged under the terms of its Registrar Accreditation Agreement (“RAA”) with ICANN to obtain your agreement to certain provisions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these provisions as follows: (in the paragraphs below, “Reseller” means a reseller of registrar services with whom Com Laude has entered into an agreement to provide registrar services and “Registrar” means Com Laude)

  1. Reseller is prohibited from displaying the ICANN or ICANN-Accredited Registrar logo, or from otherwise representing itself as accredited by ICANN unless it has written permission from ICANN to do so.
  2. Any registration agreement used by Reseller shall include all registration agreement provisions and notices required by the ICANN Registrar Accreditation Agreement and any ICANN Consensus Policies, and shall identify the sponsoring registrar or provide means for identifying the sponsoring registrar, such as a link to the InterNIC Whois lookup service.
  3. Reseller shall identify the sponsoring registrar upon inquiry from the customer.
  4. Reseller shall ensure that the identity and contact information provided by the customer of any privacy or proxy registration service offered or made available by Reseller in connection with each registration will be deposited with Registrar or held in escrow or, alternatively, display a conspicuous notice to such customers at the time an election is made to utilize such privacy or proxy service that their data is not being escrowed. Where escrow is used, the escrow agreement will provide, at a minimum, that data will be released to registrar in the event Reseller breaches the reseller agreement, and such breach is harmful to consumers or the public interest. In the event that ICANN makes available a program granting recognition to resellers that escrow privacy or proxy registration data as detailed above, and Reseller meets any other criteria established by ICANN in accordance with its Bylaws, Reseller shall be permitted to apply to ICANN for such recognition.
  5. To the extent that Registrar is obligated to provide a link to an ICANN webpage, as detailed in subsection 3.15 below, Reseller also shall be under an obligation to provide such linkage. [Subsection 3.15 of the RAA provides as follows: In the event that ICANN gives reasonable notice to Registrar that ICANN has published a webpage that identifies available registrant rights and responsibilities, and the content of such webpage is developed in consultation with registrars, Registrar shall provide a link to the webpage on any website it may operate for domain name registration or renewal clearly displayed to its Registered Name Holders at least as clearly as its links to policies or notifications required to be displayed under ICANN Consensus Policies.]
  6. If Registrar becomes aware that such a Reseller is in breach of any of the above provisions, Registrar shall take reasonable steps to notify the Reseller that it is in breach of the reseller agreement and that Registrar has the right to terminate such agreement.

Domain Name Dispute Resolution Policies

The Uniform Domain-Name Dispute Resolution Policy (UDRP) is applicable across all gTLDs. For the current UDRP, see www.icann.org/udrp

Additional dispute resolution policies may apply to specific circumstances only in individual TLDs as follows: (current copies of these policies are also available at www.icann.org/udrp)

Data Escrow Policy

Registered Name Holder and Registration Data is routinely escrowed by Com Laude to an external escrow agent authorised by ICANN. Please note that if you elect to use a privacy or proxy service, this data will be maintained solely within Com Laude’s internal systems and will not be escrowed.

Additional requirements for specific gTLDs

.ASIA

Should you wish to register .asia names with us or transfer .asia names to our management, then the Registry Operator, DotAsia Organisation Limited (“DotAsia”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .asia domain name)

Registered Name Holder shall:

  1. Indemnify to the maximum extent permitted by law, defend and hold harmless DotAsia, and its directors, officers, employees and agents from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Registered Name Holder’s domain name registration and or use, which obligation shall survive the termination or expiration of the registration agreement; (3.8)
  1. Comply with ICANN requirements, standards, policies, procedures, and practices for which DotAsia has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN; (3.9.1)
  1. Comply with operational standards, policies, procedures, and practices for the .ASIA Registry established from time to time by DotAsia in a non-arbitrary manner as Registry Policies, applicable to all registrars and/or Registered Name Holders, and consistent with the Registry Agreement shall be effective upon thirty days notice by DotAsia to Registrar; (3.9.2)
  1. Acknowledge and agree that notwithstanding anything in this Agreement to the contrary, DotAsia is and shall be an intended third party beneficiary of this Agreement. As such, the parties to this Agreement acknowledge and agree that the third party beneficiary rights of DotAsia have vested and that DotAsia has relied on its third party beneficiary rights under this Agreement in agreeing to Com Laude being a registrar for the .ASIA TLD. Additionally, the third party beneficiary rights of DotAsia shall survive any termination or expiration of this Agreement. (3.9.3)
  1. Consent to the use, copying, distribution, publication, modification and other processing of Registered Name Holder’s Personal Data by DotAsia and its designees and agents in a manner consistent with the purposes specified pursuant to Subsection 2.6 and with relevant mandatory local data protection, laws and privacy; (3.9.4)
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”); (3.9.5)
  1. Submit to proceedings commenced under ICANN’s Charter Eligibility Dispute Resolution Policy (“CEDRP”); (3.9.6)
  1. Immediately correct and update the registration information for the Registered Name during the registration term for the Registered Name; (3.9.7)
  1. Represent and warrant that it has made known to the Charter Eligibility Declaration Contact (CED Contact) and the CED Contact has agreed, that the Registrant Contact and the CED Contact will jointly be defined as the Registered Name Holder, and that it shall be jointly responsible for the Registered Name in the event of a dispute or a challenge over the Registered Name Holder’s legal entitlement to the ownership of the Registered Name. The CED Contact shall be bound by DotAsia’s CEDRP published from time to time. Registered Name Holder acting as Registrant Contact agrees that it has obtained an agreement from the CED Contact that the Registrant Contact shall remain the Operating Contact for all operations of the domain, including but not limited to domain transfer and updates; (3.9.8)
  1. Acknowledge and agree to be bound by the terms and conditions of the initial launch and general operations of the Registry TLD, including without limitation the Start-Up Policies, where such terms and conditions include the submission to a binding arbitration for disputes arising from the Start-Up process or any allocation of domain names; (3.9.9)
  1. Acknowledge and agree that DotAsia and Registry Services Provider, acting in consent with DotAsia, reserves the right to deny, cancel or transfer any registration that it deems necessary, in its discretion (i) to protect the integrity and stability of the registry; (ii) to comply with all applicable laws, government rules or requirements, requests of law enforcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil or criminal, on the part of DotAsia as well as its affiliates, subsidiaries, officers, directors, representatives, employees, and stockholders; (iv) for violations of the terms and conditions herein; or (v) to correct mistakes made by DotAsia, the Registry Services Provider or any registrar in connection with a domain name registration, and DotAsia also reserves the right to freeze a Registered Name during resolution of a dispute. (3.9.10.); and
  1. Submit to proceedings commenced under other dispute policies as set forth by DotAsia from time to time in the Registry Policies but not limited to expedited processes for suspension of a domain name by claims sought by intellectual property right holders, internet engineering and security experts or other competent claimants in the purpose of upholding the stability, security and integrity of the .ASIA Registry (3.9.11)

.BIZ

Should you wish to register .biz names with us or transfer .biz names to our management, then the Registry Operator, NeuStar Inc (“NeuStar”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .biz domain name)

Registered Name Holder:

  1. Certifies that:
    1. The data provided in the domain name registration application is true, correct, up to date and complete; and
    2. It will keep the information provided up to date;
  1. Certifies that to the best of its knowledge:
    1. The registered domain name will be used primarily for bona fide business or commercial purposes and not (i) exclusively for personal use; or (ii) solely for the purposes of (1) selling, trading or leasing the domain name for compensation, or (2) the unsolicited offering to sell, trade or lease the domain name for compensation;
    2. It has authority to enter into the registration agreement; and
    3. The registered domain name is reasonably related to its business or intended commercial purpose at the time of registration.
  1. Acknowledges having read and understood and agrees to be bound by the terms and conditions of the following documents, as they may be amended from time to time, which are hereby incorporated and made an integral part of this Agreement:
    1. The Uniform Domain Name Dispute Resolution Policy, available at www.icann.org/udrp;
    2. The Start-up Dispute Resolution Policy (“SUDRP”); and
    3. The Restrictions Dispute Resolution Criteria and Rules.
  1. Acknowledges that NeuStar reserves the right to deny, cancel or transfer any registration that it deems necessary, in its discretion; (1) to protect the integrity and stability of the registry; (2) to comply with any applicable laws, government rules or requirements, requests of law enforcement, in compliance with any dispute resolution process; (3) to avoid any liability, civil or criminal, on the part of NeuStar, as well as its affiliates, subsidiaries, officers, directors and employees; (4) for violations of this Agreement and its Exhibits; or (5) to correct mistakes made by NeuStar or any Registrar in connection with a domain name registration. Registry Operator also reserves the right to freeze a domain name during resolution of a dispute. (Exhibit E)

.TV & .CC Domain Names Registration Polices

.COM

Should you wish to register .com names with us or transfer .com names to our management, the Registry Operator, Verisign Inc (“Verisign”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .com domain name)

Registered Name Holder shall indemnify, defend and hold harmless Verisign, and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses arising out of or relating to the Registered Name Holder’s domain name registration.

.INFO

Should you wish to register .info names with us or transfer .info names to our management, the Registry Operator, Afilias Limited (“Afilias”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .info domain name)

Registered Name Holder shall:

  1. Comply with the following:
    1. ICANN standards, policies, procedures and practices for which Afilias has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN; and
    2. Operational standards, policies, procedures and practices for the Registry TLD established from time to time by Afilias in a non-arbitrary manner and applicable to all registrars, including affiliates of Afilias, and consistent with ICANN’s standards, policies, procedures and practices and the Registry Agreement with ICANN. Additional or revised operational standards, policies, procedures and practices for the Registry TLD shall be effective upon thirty days notice by Afilias to Registrar; (3.5)
  1. Consent to the use, copying, distribution, publication, modification and other processing of Registered Name Holder’s Personal Data by the Registry Operator and its designees and agents in a manner consistent with the purposes specified pursuant to subsection 2.6 of the Registry-Registrar Agreement; (3.6.1)
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”); (3.6.2)
  1. Immediately correct and update the registered information for the Registered Name during the registration term for the Registered Name; (3.6.3)
  1. Agree to be bound by the terms and conditions of the initial launch of the Registry TLD, including without limitation the sunrise period and the land rush period, and the Sunrise Dispute Resolution Policy, and further to acknowledge that Afilias has no liability of any kind for any loss or liability resulting from the proceedings and processes relating to the sunrise period or the land rush period, including without limitation: (a) the ability or inability of a registrant to obtain a Registered Name during these periods, and (b) the results of any dispute over a sunrise registration; and (3.6.4)
  1. Acknowledge and agree that Afilias reserves the right to deny, cancel or transfer any registration or transaction, or place any domain name(s) on registry lock, hold or similar status, that it deems necessary, in its discretion; (1) To protect the integrity and stability of the registry; (2) To comply with any applicable laws, government rules or requirements, requests of law enforcement, or any dispute resolution process; (3) To avoid any liability, civil or criminal, on the part of Afilias, as well as its affiliates, subsidiaries, officers, directors and employees; (4) per the terms of the registration agreement or (5) to correct mistakes made by Afilias or any Registrar in connection with a domain name registration. Afilias also reserves the right to place upon registry lock, hold or similar status a domain name during resolution of a dispute. (3.6.5)

.MOBI

Should you wish to register .mobi names with us or transfer .mobi names to our management, the Registry Operator, mTLD Top Level Domain Ltd. (“dotMobi”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .mobi domain name)

Registered Name Holder shall:

  1. Indemnify to the maximum extent permitted by law, defend and hold harmless Registry Operator, and its directors, officers, employees and agents from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Registered Name Holder’s domain name registration and or use, and this indemnification obligation survive the termination or expiration of the registration agreement; (3.7)
  1. Indemnify, defend and hold harmless Registry Services Provider, its subsidiaries and affiliates, and the directors, officers, employees and agents or each of them, from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Registered Name Holder’s domain name registration and or use, and indemnification obligation survive the termination or expiration of the registration agreement; (3.7.1)
  1. Acknowledge and agree that notwithstanding anything in this Agreement to the contrary, dotMobi” is and shall be an intended third party beneficiary of this Agreement. As such, the parties to this Agreement acknowledge and agree that the third party beneficiary rights of dotMobi have vested and that dotMobi has relied on its third party beneficiary rights under this Agreement in agreeing to Nom-IQ Ltd DBA Com Laude being a registrar for the .mobi top-level domain. Additionally, the third party beneficiary rights of dotMobi shall survive any termination or expiration of this Agreement. (3.8.3)
  1. Comply with ICANN requirements, standards, policies, procedures, and practices for which Registry Operator has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN; (3.8.1)
  1. Comply with operational standards, policies, procedures, and practices for the Registry TLD established from time to time by Registry Operator in a non-arbitrary manner as Registry Policies, applicable to all registrars and/or Registered Name Holders, and consistent with the Registry Agreement shall be effective upon thirty days notice by Registry Operator to Registrar; (3.8.2)
  1. Consent to the use, copying, distribution, publication, modification and other processing of Registered Name Holder’s Personal Data by dotMobi and its designees and agents in a manner consistent with the purposes specified pursuant to Subsection 2.6 and with relevant mandatory local data protection, laws and privacy; (3.8.4)
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”); (3.8.5)
  1. Immediately correct and update the registration information for the registered Name during the registration term for the Registered Name; (3.8.6)
  1. Acknowledge and agree to be bound by the terms and conditions of the initial launch and general operations of the Registry TLD, including without limitation the Limited Industry Launch, the Sunrise Period, the Land Rush Period, the Sunrise Dispute Resolution Policy, the Premium Name Allocation Process, and the General Registration Period , and further to acknowledge that dotMobi and the Registry Service Provider has no liability of any kind for any loss or liability resulting from the proceedings and processes relating to the Limited Industry Launch, the Sunrise Period, the Land Rush Period, the Sunrise Dispute Resolution Policy, the Premium Name Allocation Process, and the General Registration Period including, without limitation: (a) the ability or inability of a registrant to obtain a Registered Name during these periods, and (b) the results of any dispute made during the limited industry launch or over a Sunrise Registration. (3.8.7)
  1. Acknowledge and agree that the Registry and Registry Services Provider, acting in consent with the Registry, reserves the right to deny, cancel or transfer any registration that it deems necessary, in its discretion (i) to protect the integrity and stability of the registry; (ii) to comply with all applicable laws, government rules or requirements, requests of law enforcement, in compliance with any dispute resolution process; (iii) to avoid any liability, civil or criminal, on the part of the Registry as well as its affiliates, subsidiaries, officers, directors, representatives, employees, and stockholders; (iv) for violations of the terms and conditions herein; or (v) to correct mistakes made by the Registry or any registrar in connection with a domain name registration, and the Registry also reserves the right to freeze a Registered Name during resolution of a dispute. (3.8.8.)
  1. Acknowledge and agree that they must comply with the requirements, standards, policies, procedures and practices set forth in the dotMobi Style Guide (www.mtld.mobi) and consent to the monitoring of the website as described in the dotMobi Style Guide monitoring guidelines (www.mtld.mobi) for compliance with the Style Guide. Furthermore, Registrant acknowledges and agrees that this Style Guide is subject to modification by the Registry with any such changes appearing at the previously designated URL, and that Registrant must promptly comply with any such changes in the time allotted. (3.8.9)
  1. Acknowledge and agree that Proxy or Proxy Registrations will not be allowed during the Sunrise Period, the Limited Industry Launch and the Premium Name Allocation and Auction Period, and in such an instance will constitute a material breach to this contract. (3.9.1).

.NAME

Should you wish to register .name names with us or transfer .name names to our management, the Registry Operator, Verisign Inc (“Verisign”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Item Holder” means the registrant of a .name domain name)

Registered Item Holder shall:

  1. Indemnify, defend and hold harmless Verisign and its subcontractors, and the directors, officers, employees, affiliates and agents of each of them, from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Registered Item Holder’s registration, which obligation shall survive the termination or expiration of the registration agreement;
  1. Comply with
    1. ICANN standards, policies, procedures and practices for which Verisign has monitoring responsibility in accordance wtih the Registry Agreement or other agreement with ICANN; and
    2. Operational standards, policies, procedures and practices for the Registry TLD established from time to time by Verisign in a non-arbitrary manner and applicable to all registrars, including affiliates of Verisign, and consistent with ICANN’s standards, policies, procedures and practices and Verisign’s Registry Agreement with ICANN. Additional or revised Verisign operational standards, policies, procedures and practices for the Registry TLD shall be effective upon thirty days notice by Verisign to Registrar. If there is a discrepancy between the terms required by this Agreement and the terms of the Registrar’s registration agreement, the terms of this Agreement shall supersede those of the Registrar’s registration agreement. (3.5)
  1. Certify that to the best of their knowledge, the Registered Item is registered in compliance with the .name Eligibility Requirements; (3.6.1)
  1. Consent to the use, copying, distribution, publication, modification and other processing of Registered Item Holder’s Personal Data by the Registry Operator and its designees and agents in a manner consistent with the purposes specified pursuant to subsection 2.6; (3.6.2)
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”); (3.6.3)
  1. Immediately correct and update the registered information for the Registered Item during the registration term for the Registered Item; (3.6.4)

Agree to be bound by the terms and conditions of the initial launch of the Registry TLD, including without limitation the sunrise period and the land rush period, and the Sunrise Dispute Resolution Policy, and further to acknowledge that Verisign has no liability of any kind for any loss or liability resulting from the proceedings and processes relating to the sunrise period or the land rush period, including without limitation: (a) the ability or inability of a registrant to obtain a Registered Item during these periods, and (b) the results of any dispute over a sunrise registration; and (3.6.5)
  1. Acknowledge and agree that Verisign reserves the right to deny, cancel or transfer any registration or transaction, or place any domain name(s) on registry lock, hold or similar status, or additionally for SLD email forwarding implement throttling/blocking and/or size limitations, that it deems necessary, in its discretion; (1) To protect the integrity and stability of the registry; (2) To comply with any applicable laws, government rules or requirements, requests of law enforcement, or any dispute resolution process; (3) To avoid any liability, civil or criminal, on the part of Verisign, as well as its affiliates, subsidiaries, officers, directors and employees; (4) per the terms of the registration agreement or (5) to correct mistakes made by Verisign or any Registrar in connection with a domain name registration. Verisign also reserves the right to place upon registry lock, hold or similar status a Registered item during resolution of a dispute. (3.6.6)

.NET

Should you wish to register .net names with us or transfer .net names to our management, the Registry Operator, Verisign Inc (“Verisign”), imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .net domain name)

  1. Registered Name Holder shall indemnify, defend and hold harmless Verisign, and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses arising out of or relating to the Registered Name Holder’s domain name registration.


.ORG

Should you wish to register .org names with us or transfer .org names to our management, the Registry Operator, Public Interest Registry (“PIR”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Registered Name Holder” means the registrant of a .org domain name)

Registered Name Holder shall:

  1. Indemnify, defend and hold harmless PIR and its subcontractors, and the directors, officers, employees, affiliates and agents of each of them, from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Registered Name Holder’s domain name registration, which obligation shall survive the termination or expiration of the registration agreement. (3.4)
  1. Comply with
    1. ICANN standards, policies, procedures and practices for which PIR has monitoring responsibility in accordance with the Registry Agreement or other agreement with ICANN; and
    2. Operational standards, policies, procedures and practices for the Registry TLD established from time to time by PIR in a non-arbitrary manner and applicable to all registrars, including affiliates of PIR, and consistent with ICANN’s standards, policies, procedures and practices and PIR’s Registry Agreement with ICANN. Additional or revised PIR operational standards, policies, procedures and practices for the Registry TLD shall be effective upon thirty days notice by PIR to Registrar. If there is a discrepancy between the terms required by this Agreement and the terms of the Registrar’s registration agreement, the terms of this Agreement shall supersede those of the Registrar’s registration agreement. (3.5)
  1. Consent to the use, copying, distribution, publication, modification and other processing of Registered Name Holder’s Personal Data by PIR and its designees and agents in a manner consistent with the purposes specified pursuant to subsection 2.6; (3.6.1)
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”); (3.6.2)
  1. Immediately correct and update the registered information for the Registered Name during the registration term for the Registered Name; (3.6.3)
  1. Agree to be bound by the terms and conditions of the initial launch of the Registry TLD, including without limitation the sunrise period and the land rush period, and the Sunrise Dispute Resolution Policy, and further to acknowledge that PIR has no liability of any kind for any loss or liability resulting from the proceedings and processes relating to the sunrise period or the land rush period, including without limitation: (a) the ability or inability of a registrant to obtain a Registered Name during these periods, and (b) the results of any dispute over a sunrise registration; and (3.6.4)
  1. Acknowledge and agree that PIR reserves the right to deny, cancel or transfer any registration or transaction, or place any domain name(s) on registry lock, hold or similar status, that it deems necessary, in its discretion; (1) To protect the integrity and stability of the registry; (2) To comply with any applicable laws, government rules or requirements, requests of law enforcement, or any dispute resolution process; (3) To avoid any liability, civil or criminal, on the part of PIR, as well as its affiliates, subsidiaries, officers, directors and employees; (4) per the terms of the registration agreement or (5) to correct mistakes made by PIR or any Registrar in connection with a domain name registration. PIR also reserves the right to place upon registry lock, hold or similar status a domain name during resolution of a dispute. (3.6.5)

.TEL

Should you wish to register .tel names with us or transfer .tel names to our management, the Registry Operator, Telnic Limited (“Telnic”) imposes certain conditions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these conditions as follows: (in the paragraphs below, “Domain Name Holder” means the registrant of a .tel domain name)

Domain Name Holder shall:

  1. To the maximum extent permitted by law, indemnify, defend and hold harmless Telnic, its service providers, subcontractors and their respective directors, officers, employees, affiliates and agents from and against any and all claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or relating to the Domain Name Holder’s Domain Name, which indemnification shall survive any termination or expiration of the registration agreement.
  1. Consent to the use, copying, distribution, publication, modification and other processing of Domain Name Holder’s Personal Data by Telnic, its service providers, subcontractors and agents in a manner consistent with Telnic’s posted privacy policy, Telnic’s WHOIS policy and all other purposes of collection notified to Registrar by Telnic.
  1. Submit to proceedings commenced under ICANN’s Uniform Domain Name Dispute Resolution Policy (“UDRP”).
  1. Agree to be bound by the policies relating to the initial launch of the .tel TLD, such as the Sunrise Policy and any applicable Landrush requirements, and will acknowledge that Telnic has no liability of any kind for any loss or liability resulting from any such policies or requirements, including, without limitation: (a) the ability or inability of a registrant to obtain a Domain Name during these periods, and (b) the results of any dispute over a Sunrise registration.
  1. Comply with all applicable TLD Requirements, including, but not limited to, the Acceptable Use Policy and the Sunrise Policy.
  1. Acknowledge and agree that Telnic reserves the right to deny, cancel or transfer any registration or transaction, or place any Domain Name(s) on registry lock, hold, or similar status, that it deems necessary, in its discretion: (a) to protect the integrity and stability of the registry; (b) to comply with any applicable laws, government rules or requirements, request of law enforcement, or any dispute resolution process; (c) to avoid any liability, civil or criminal, on the part of the Registry, as well as its affiliates, subsidiaries, officers, directors, and employees; (d) per the terms of the registration agreement; (e) to correct mistakes made by Telnic or any Registrar in connection with a Domain Name registration; (f) to enforce the TLD Requirements; and (g) to prevent the use of the Domain Name in a manner contrary to the intended purpose of the .tel TLD. Telnic also reserves the right to lock, hold, or place on a similar status a Domain Name Holder, its customers, affiliates, service providers or any other party as a result of such denial, cancellation or transfer.
  1. By submitting a request for a Domain Name, Domain Name Holder represents and warrants that (i) to its knowledge, the registration of the requested Domain Name does not and will not infringe upon or otherwise violate the rights of any third party; (ii) it is not submitting the request for a domain name for an unlawful purpose; (iii) it will not knowingly use the Domain Name in violation of any applicable laws or regulations or of the rights of any third parties; and (iv) that it will use the Domain name in accordance with the TLD Requirements.
  1. Acknowledge that Registry may communicate directly with the Domain Name Holder in connection with issues relating to a Domain Name and the Domain Name Holder’s membership of the .tel community.
  1. Acknowledge that any dispute, controversy or claim between the Domain Name Holder and Registry relating to a Domain Name or a request for a Domain Name shall be subject to the laws of England and Wales and the exclusive jurisdiction of the courts in England and Wales.

Com Laude Renewal Policy

Under our Agreement with ICANN we are obliged to have a renewal policy and state it on our website. Unless stated otherwise in our Terms and Conditions, our renewal policy is as follows:

By placing an order with us, you agree that your names due for renewal will automatically be renewed by us, unless you advise us one month in advance of the expiration date that you do not wish to renew a name. Lapse procedures at different registries vary. The procedure for gTLDs which you wish to lapse is as follows:

  1. Expiration date plus 30 days: Registrar Grace Period. During this time we can renew your name if you change your mind for the normal renewal fee.
  2. Registrar Grace Period plus 30 days: Redemption Period. During this time we can recover your name from the registry. We will charge you $100 for this renewal.
  3. Redemption Period plus five days: Pending Delete Period. During this time, the name is set to expire at the registry and cannot be recovered.
  4. Approximately 65 days after the expiration date, your name will be deleted from the registry and will be available for others to register.

Spanish RegistrationsAdditional terms

Com Laude is obliged under the terms of its Registrar Agreement with the .es Registry to obtain your agreement to certain provisions. As set out in our Terms and Conditions, by placing an order with us you unconditionally agree to be bound by these provisions as follows: (in the paragraphs below, “applicant” means the applicant of a .es domain name)

1.Data protection
The personal data provided by the applicant will be notified to the Public Business Entity Red.es, located at www.red.es. Said notification is necessary to execute this contract. The applicant undertakes, to this effect, to keep the information provided up-to-date by way of the procedure established for said purpose.

This Entity shall process the applicant’s personal data in accordance with Organic Law 15/1999, dated 13 December: the Personal Data Protection Act, and its executive legislation, and shall refrain from using them for any purpose other than those indicated in the regulations governing the assignment of “.es” domain names and in this contract. The applicant is hereby informed that assignment of the domain name requires his or her personal data to be published in the “.es”
Domain Name Register database, which is accessible to the public on the internet. By signing this document, the Applicant gives his or her consent for this notification and processing, including the publication of his or her personal data in the “.es” Domain Name Register Database.

The rights to access and rectification may be exercised with Com Laude at its office located at 2nd floor, 28-30 Little Russell Street, LONDON, WC1A 2HN. The rights to cancellation and opposition, given that the transfer of the data and their processing by Red.es are required to execute this contract, may only be exercised upon forfeiting the requested domain name.”

2. Non-liability of the .es Registry in aspects related to the contractual relations established between the Registrars and the “.es” domain name applicants or beneficiaries.

Com Laude exercises a mediation function in the assignment of “.es” domain names and is solely and exclusively responsible for fulfilling the obligations stipulated in this contract. All “.es” domain name applicants or beneficiaries who sign this contract shall be deemed to have been informed of this situation and they expressly waive any right to any action or claim against Red.es deriving from Com Laude’s failure to fulfil its duties.
